On June 17, 2020, on the application made by Richard Dixon Fleming of Alvarez & Marsal Europe LLP, in his capacity as nominee and foreign representative (the “Foreign Representative” ) of AllSaints USA Limited (“AllSaints USA” or the “Company”), the Ontario Superior Court of Justice (Commercial List) (the “Court”) issued an initial recognition order (the “Initial Recognition Order”) and a supplemental recognition order (the “Supplemental Recognition Order”) which, among other things, appointed PricewaterhouseCoopers Inc., LIT as the Information Officer (the “Information Officer”) of AllSaints USA.

The Initial Recognition Order and Supplemental Recognition Order also, among other things:

  1. Declared that the Foreign Representative is the “foreign representative” as defined in the Companies’ Creditors Arrangement Act (Canada) (“CCAA”) in respect of the English Proceedings (as defined below);
  2. Recognized the English Proceedings in Canada;
  3. Declared that the centre of main interest for the Company is England and Wales;
  4. Declared that the English Proceedings are recognized as a “foreign main proceeding” as defined in section 45 of the CCAA;
  5. Granted a comprehensive stay of proceeding in favour of the Foreign Representative, AllSaints USA and its property in Canada (the “Property”); and
  6. Approved an administrative charge in the amount of $150,000 on the Property of AllSaints USA, as security for payment of the professional fees and disbursement of the Information Officer, counsel to the Information Officer and Company counsel in Canada.

Also, on June 17, 2020, pursuant to Part I of the Insolvency Act (1986)(U.K.), the Foreign Representative commenced a company voluntary arrangement proceeding with respect to AllSaints USA  by filing with the High Court of Justice of England and Wales a package containing: (i) a copy of the company voluntary arrangement of AllSaints USA, (ii) a report by the Nominees, and (iii) a copy of AllSaints USA’s statement of affairs (the “English Proceeding”).

Status of the File as of July 6, 2020

On July 6, 2020, the Court issued

  1. the CVA Recognition Order, which, among other things, recognized the CVA of the Company and the compromises, arrangements, releases and discharges contained and referenced in the CVA; and
  2. the Discharge and Termination Order, which among other things:

a.    approved the activities of the Information Officer as set out in the First Report of the Information Officer and the Supplemental Report of the Information Officer;

b.    discharged the Information Officer upon the filing of the Information Officer’s Certificate, by the Information Officer, and terminated the CCAA recognition proceeding; and

c. granted certain releases in favour of the Information Officer and its   counsel.

Status of the File as of July 4, 2020

On July 4, 2020, the Information Officer filed its supplementary report to the First Report with the Court (the “Supplemental Report”), to provide the Court with information concerning:

1.    Results of the Creditors' Meeting:

2.    Results of the Shareholders' Meeting; and

3.    The discharge of the Information Officer and termination of the Canadian Recognition Proceeding.

Status of the File as of July 3, 2020

On July 3, 2020, the Information Officer filed its supplementary report to the First Report with the Court (the “Supplemental Report”), to provide the Court with information concerning:

  1. Results of the Creditors' Meeting:
  2. Results of the Shareholders' Meeting; and
  3. The discharge of the Information Officer and termination of the Canadian Recognition Proceeding.

Status of the File as of June 30, 2020

On June 30, 2020, the Information Officer filed its first Report with the Court (the “First Report”), to provide the Court with information concerning:

  1. Background on AllSaints USA and its Canadian operations;
  2. The activities of the Information Officer, and the Nominees (as defined in the First Report) since June 17, 2020;
  3. A summary of the key terms of the AS USA CVA (as defined in the First Report), including but not limited to the effect of the AS USA CVA on all Canadian creditors;
  4. The security opinion received by the Information Officer from its independent legal counsel; and
  5. Anticipated next steps in the English Proceeding and Canadian Recognition Proceeding.

The motion seeking the Canadian CVA Recognition Order and the Discharge and Termination Order will be heard on July 6, 2020.

Status of File as of June 29, 2020

On June 29, 2020, the Foreign Representative filed a motion with the Court for

  1. an order (the “CVA Recognition Order”) to, among other things, recognize the CVA of the Company and the compromises, arrangements, releases and discharges contained and referenced in the CVA; and
  2. an order (the “Discharge and Termination Order”) to, among other things:

a. approve the activities of the Information Officer as set out in the First Report of the Information Officer and the Supplemental Report of the Information Officer, each to be filed;

b. upon the filing of the Information Officer’s Certificate, by the Information Officer, discharge the Information Officer and terminate the CCAA recognition proceeding; and

c. grant certain releases in favour of the Information Officer and its counsel.
