Our team of lawyers has represented companies in all aspects of business formations, mergers, joint ventures, acquisitions, stock and asset sales, tender offers, takeovers and reorganisation. They have built a solid track record for being able to carry out comprehensive and strategic legal due diligence exercises for Merger and Acquisition (M&A) transactions in a wide range of industries. Instead of providing the client with a lengthy and convoluted report, our due diligence focuses on key issues crucial to the transaction and proposes solutions or alternatives to the issues.

We have handled many corporate finance and banking transactions involving Indonesian borrowers and/or assets, both on behalf lenders and borrowers. We have worked on a broad range of secured loan transactions and we have structured finance transactions, including leveraged buy-outs, structured notes and securitisations. Our lawyers also have extensive experience in advising on all aspects of creditor’s rights and remedies, loan enforcement and restructuring, in addition to bankruptcy.

We provide counsel to clients in the preparation of offering circulars, prospectuses, registration statements and various reports filed with the OJK, the Indonesian Financial Services Authority, and the Indonesian Stock Exchange (IDX). In addition to conducting legal due diligence, preparing and advising on underwriting and trustee agreements, and other documents related to capital markets and securities transactions, we also advise on corporate actions regulated by the OJK, such as conflict of interest transactions and material transactions.

We do general commercial work and our team has extensive experience in providing advice and preparing documentation related to general and commercial matters, such as: the establishment of foreign investment companies in Indonesia, joint ventures and strategic alliances.
