Johnson is a partner in the Tax Services practice of PwC and leads PwC Calgary’s Mergers and Acquisitions Tax group.

Johnson has specialized in Canadian, U.S., international and mergers and acquisitions taxation for over 13 years, and devotes a substantial amount of time to servicing clients in the energy industry. He has been very active in planning for international corporate acquisitions, reorganizations and efficient debt financings for both Canadian outbound and inbound investments. He has extensive international tax experience, including structuring of business operations in numerous jurisdictions, including the U.S., Mexico, South America, Europe, Asia, Australia and Africa, as well as structuring investment into Canada from many regions.

Johnson has significant oil and gas tax experience in merger and acquisitions, divestiture planning and implementing cross-border transactions. This includes planning for and creating tax efficient designs of acquisitions with purchases prices ranging as high as US$3 billion.

Johnson has considerable experience in the design and implementation of corporation reorganizations, including foreign affiliates reorganizations for energy companies. He has designed and implemented cost-effective cross-borders U.S financing structures including:

  • Hungarian financing structures
  • Hybrid instrument (Repo) structures
  • Hybrid entity (Tower) structures
  • U.S. real estate mortgage investment conduit (REMIC) structures

Johnson has a Master’s degree in U.S. taxation and has significant experience with U.S. tax matters for both U.S. inbound and outbound investments.
