US tax is a complex domain in a constantly evolving legal and regulatory environment. We help our clients understand and navigate these risks through the right mix of technology and people. Our goal is to deliver real value not only by reducing potential tax leakage but also by reducing operational burdens. The process begins with increasing tax efficiency through effective planning and structuring, which is followed by streamlining the compliance function through extracting and standardising data. This results in value creation for both the client and the cient's stakeholders.

With services that include planning, structuring, compliance and reporting, our team is positioned to support you through your fund's lifecycle.

Our expertise covers the full lifecycle, regardless which stage you are right now

Real value can be created before the fund is even established. Helping our clients navigate complex US tax considerations when selecting structures or deciding to accept US investors is the first step. We offer a thorough suite of US tax advisory services aimed at helping our clients consider US tax impacts and optimise for these prior to formation and capitalisation. Planning also includes consideration of ongoing compliance responsibilities and the operational burdens these may represent.

We advise clients on a broad range of services which may include:

  • Fund structuring including private equity, real estate, venture capital and hedge funds;
  • Analysis of PFIC, ECI, CFC, FIRPTA implications at the fund or investment levels;
  • Structuring and planning for US real estate investments;
  • US tax planning of portfolio companies and investments;
  • Entity tax classification considerations;
  • Considerations around QI registration and withholding and reporting for FFIs;
  • Foreign tax credit creditability analysis;
  • Debt or equity classifications.

Once the planning process is complete we move to the launch phase. During this phase we support our clients by helping to ensure that our planning goals are executed when establishing the fund or investment vehicle.

Services during this phase may include:

  • Review of offering documents (private placement memorandums and other investor documents);
  • Obtaining EIN numbers;
  • Preparation and filing of entity election statements;
  • QI registration;
  • Review of financial instruments for US classification;
  • Development of a compliance calendar and work plan for each filing due date;
  • Defining information required for US tax compliance and reporting obligations.

While tax compliance may be a requirement, we feel that it shouldn't be a burden. Our service offerings are designed to bring the right combination of technology and people to reduce the operational burden for our clients. Our tax compliance process leverages cutting-edge technology making it easier than ever to meet your compliance responsibilities. We do this with a consisent eye on quality looking beyond just the forms.
