The importance of ESG and sustainability in M&A (2022)

The 2022 edition of this report, which we began publishing last year, summarises the outcomes of a joint survey by RECOFDATA Corporation and PwC Advisory LLC. It explains recent and future M&A trends in Japan and related points of focus from the perspective of ESG and the SDGs.
In recent years, the importance of sustainability management has increased rapidly. Looking back over the past year, following the revision of the Japanese Corporate Governance Code in Japan and the 26th UN Climate Change Conference (COP26), global and domestic frameworks related to climate change and human rights have advanced, and the priorities and directions that companies must take as part of their sustainability management have become clearer.
Under these circumstances, companies have begun to incorporate ESG into their management policies and business strategies in order to realise sustainability management and transformation. This survey shows that, as a way of realising this transformation in an inorganic manner, the number of M&A deals related to climate change measures and the circular economy, which are particularly important sustainability issues, have been on the rise in the Japanese market in recent years, and related initiatives have evolved significantly.
