Terms & Conditions

In these terms of use, “PwC”, “we”, “us” and “our” mean PwC (Vietnam) Limited. “You”, “your” and similar expressions refer to the individual, corporation, trust, partnership or other entity (and any of their related corporate bodies) that has completed the registration process to use any eLearning services offered by us.

I. The registration process for our eLearning

The application form forms the entire agreement about our Services and legally binding upon the parties without signing any written contract by the parties. By submitting the application form, you agreed to engage PwC’s Academy services (“Services”) and placed an order for your registration on the PwC's Academy website and the Services available through it (“”Website”, “course”).

After ordering, a payment instruction will be sent out based on the information provided in this application form. You shall make payment to us in accordance with the payment instruction. Once you have provided us the proof of payment in an email, and we confirm the full payment is received, your registration will be confirmed and invoice will be issued upon request. We will send information to your email address with Services details.

II. Terms and conditions

By completing the registration process, you represent that you are authorised to enter into the terms of use for the Website and the eLearning course and you agree that you will comply with these terms and all applicable laws and regulations, including the Law on Intellectual Property.

Unless you enter a separate agreement in writing with PwC, in consideration for the performance of your obligations, the following terms apply in relation to any rights we grant to you for a definite, non-transferable, non-exclusive licence to access and use the Website and the eLearning course within Vietnam:

1. You agree to use the eLearning course you register for in a manner consistent with its intended purposes. 

2. Unless with our prior written consent, you may not (i) share any part of the contents in our deliverables (including but not limited to notes, slides, videos, reports, and so on) with anyone else, or (ii) disclose or directly or indirectly refer to our deliverable or any part of the contents thereof, or (iii) include our name or logo in any public document or make any public statement about us or about the deliverables, or (iv) discuss our Services with anyone else. 

3. If you are required by law to disclose any deliverable or any part of the contents of our deliverables, you must notify us immediately before making any such disclosure as long as it is not prohibited by law for you to do so. 

4. You will provide us promptly with the information and instructions we require to provide the Services and will ensure all information is accurate and complete. We will rely on that information and will not verify it. We may retain copies of all materials relevant to the Services for at least ten years.

5. You acknowledge that we may from time to time and without notice vary, modify or terminate, temporarily or permanently, your use of the eLearning course and/or these terms of use at our sole discretion.

6. You shall not modify the Website content and/or eLearning course materials, make any derivative work based on it, reproduce or develop similar software or content using or based on the Website contents and/or eLearning course materials.

7. We (and our licensors) retain all rights, titles, and interests in the eLearning course materials and nothing you do on or in relation to the eLearning course materials will transfer any intellectual property rights to you unless expressly stated.

8. You agree that your access to and use of the eLearning course is for general information purposes only and should not be used as a substitute for consultation with professional advisers.

9. You agree to pay the fee(s), including applicable tax, per the invoice(s) issued by us to you. PwC’s standard payment term is 14 days or less.  

10. eLearning offerings are provided on a use-it-or-lose-it basis and are not transferable. Your access to the courses is granted for a definite period depending on the particular eLearning platform: 365 days for International Financial Reporting Standards (IFRS) and Accounting; 365 days for Online Academy, and 180 days for Association of Chartered Certified Accountants (ACCA). It is subject to change without prior notice.

11. You will be required to register an individual email address and password (or other login details) via the Website every time you submit an application form prior to receiving the rights to access the eLearning course that you are registering for. 

12. You agree that you have sole responsibility for the accuracy and protection of the information that you or any other person inputs into the registration form and/or Website (including any personal information) and that in no event shall we or our beneficiaries be liable for any loss of any kind (including loss or corruption of your data) arising from any act or omission.

13. Each party will use the other party’s confidential information only for the purpose of exercising its rights and fulfilling its obligations under these terms of use or as required by applicable laws or professional standards and neither party will disclose such confidential information to third parties except to the extent necessary to exercise its rights and fulfil its obligations under these terms of use or as required by applicable laws. Your obligations under these terms of use with respect to any particular item of confidential information received will survive any termination or expiration of these terms of use.

14. You must keep your login details secure and confidential and not disclose or allow anybody else to use such login details. You must not reassign or transfer these login and password details to anyone else. We may assume that any person accessing or using the Website using login details is you.

15. Our approach to privacy is set out in PwC’s Privacy Policy, which can be viewed at https://www.pwc.com/vn/en/about-us/privacy-statement.html. We agree to cooperate with each other to address our respective obligations to comply with the data protection legislation applicable to any personal information shared in connection with the registration process and/or any other interaction with PwC for use of the eLearning course. 

16. You must not seek to circumvent access or security controls or otherwise threaten the security of the Website. You must notify us immediately by email to vn_academy@pwc.com if you become aware of, or have reason to suspect, that there has been any unauthorised access to or use of the Website using your login details.

17. We may suspend your access to the Website in cases where we reasonably believe there has been any unauthorised access to, or use of, the Website through your login details. In cases where we do so, we will notify you within a reasonable time of the suspension occurring and the parties will work together to resolve the matter.

18. You must promptly notify us by email to vn_academy@pwc.com of any error messages, anomalies, defects, glitches or other issues affecting your use of the Website by taking a screenshot and forwarding it to us. We will attempt to resolve any matter as soon as we reasonably can.

19. Except as provided in these terms of use, any use, copying or distributing of the eLearning course materials for any other purpose is expressly prohibited, unless prior written consent is obtained from us.

20. You hereby indemnify PwC and other assisting PwC network firms and undertake to keep PwC and other assisting PwC network firms indemnified against any losses, damages, costs, liabilities and expenses (including legal expenses) arising out of (a) your use of and access to the Website; (b) any breach by you of any provision of these terms of use or arising out of any claim that you have breached any provision of these terms of use; (c) your breach of any third-party right, including without limitation, any intellectual property, confidentiality or privacy right; and (d) any claim that you caused damage to a third party. 

21. You agree to indemnify PwC and other assisting PwC network firms for any liability that we incur in connection with any claim by anyone else in relation to your use of the Website and/or eLearning course materials.

22. In using the eLearning course, you must not copy, decompile or reverse engineer the eLearning course materials; provide us with inaccurate or incomplete information; violate any applicable laws or use the Website or eLearning course for any purpose that is unlawful; distribute viruses, spyware, corrupted files, or any other similar software or programs that may damage the operation of any computer hardware or software; or engage in any other conduct that inhibits any other person from using or enjoying the Website or eLearning course .

23. You acknowledge that it is your responsibility to implement sufficient procedures and virus checks (including anti-virus and other security checks).

24. Upon the full and successful completion of any eLearning course, you will be able to access a certificate by following the instructions indicated on the Website and/or eLearning course. It is subject to our policy.

25. You understand that the service start date will be notified by PwC via email after the registration process is completed (“Service Start Date”). With regard to services in the form of a multi-module package, the use/ activation of the first module is the Service Start Date.

26. You must cancel the arrangements for the Services by giving not less than thirty working days’ written notice before the Service Start Date to be entitled to a 100% refund. Other than that, there is no refund applied.

27. You may, by giving not less than thirty working days’ written notice before the Service Start Date, replace the originally registered person with another person for no additional charges. It is subject to our decision. Other than that, there is no change applied.

28. You acknowledge and understand that each multi-module package is governed by its validity which is notified prior to your payment (“Validity Period”). You must use/ activate all modules within the Validity Period to ensure sufficient access. If the Validity Period exceeds, your right to use/ activate the modules will expire, and PwC has no obligation to refund those unused/ inactivated modules.

III. Our rights and obligations

 

1. The Services and the agreement should be read in conjunction with the attached Term of Business.

2. We provide access to the Website and all its content, materials and information on an "as is" and "as available" basis.  We reserve the right to make changes or updates to the Website at any time without notice and we make no warranty that the Website will be available on an uninterrupted, timely, or error-free basis. Your access to the Services may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or Services. We will attempt to restore the Services as soon as we reasonably can.

3. PwC may engage third parties, including but not limited to other PricewaterhouseCoopers member firms (each of which is a separate and independent legal entity and third-party providers of cloud-based data hosting, located in Vietnam and overseas, to assist us in providing the Website and eLearning course to you. You agree that PwC may transfer information provided to us by you to those third parties, provided they are bound by confidentiality obligations. 

4. Although we aim to offer you the best experience possible, we make no promise that your experience will meet your particular learning and development requirements. We make no warranty or other obligation that successful knowledge transfer to / application by individuals will take place.

5. We shall not be liable for (i) any element or component that is provided and incorporated into the Website content and/or eLearning course materials by an entity other than us, (ii) any modification to the Website content and/or eLearning course materials by an entity other than us, or (iii) any combination, operation or use of the Website content and/or eLearning course materials with any other data or application that has not been provided by us, nor shall we be liable for the distribution, operation or use of the Website content and/or eLearning course materials by third parties.

 

6. We will not be liable for (a) any failures or errors of products or software produced by other manufacturers, particularly in respect of their warranties and implied warranties; (b) improper performance or non-performance of your IT environment resulting from the improper performance of products and software of other manufacturers’; (c) non-performance or improper performance of the Website content and/or eLearning course materials resulting from your inability to meet the minimum system requirements to run the Website and eLearning course or lack of appropriate access to telecommunication and information networks and environments.

7. We will not be liable for the improper use nor for the manner in which or the purpose for which you use the Website content and/or eLearning course materials.

8. PwC accepts no responsibility for any person who acts or relies in any way on any of the Website content or eLearning course materials without first obtaining specific advice.

9. We take no responsibility for matters arising from changed circumstances or other information or material that may affect the accuracy or currency of the Website and eLearning course materials.

10. You undertake not to bring any claims in respect of the Website and the eLearning course against any other PwC firm (its partners, employees, or members of its bodies) or third-party supplier to PwC.

11. We are subject to certain professional and governmental regulatory requirements, including with respect to the independence of our audit clients and associated entities or persons. We may need to ask follow-up questions and you agree to provide responses accurately and promptly.

12. If we determine that our independence obligations mean that we cannot provide you with access to the Website and eLearning course we will, at our sole discretion, and with immediate effect and by notice to you, terminate your rights to access and use the Website and eLearning course.

13. Under no circumstances shall PwC be subjected to your organisation’s policies, code of conduct, or additional confirmations (such as conflicts of interest or non-disclosure agreements). We will conduct ourselves in a manner consistent with PwC's Code of Conduct (found at https://www.pwc.com/gx/en/about/ethics-business-conduct.html or such other replacement website from time to time) and our internal policies.

14. We will use reasonable care to ensure that the details published on the Website and in our eLearning course and marketing materials are correct at the time of publication. 

15. We reserve the right to cancel or change the date/place of the Services and inform you without delay. If the substitute dates does not suit you, you are entitled to:

  • register for another Services/date from our offer, provided that the fee already paid is used as a fee for the newly selected Services/date. The arised fee (if any) will be paid by you.
  • cancel the attendance with the right of a full refund of the already-paid fee.

16. We make no promise that the Website and all its contents, materials and information are appropriate or available for use in locations outside Vietnam. If you choose to access the Website from a location outside Vietnam, you do so on your own initiative and are responsible for compliance with local laws.

17. If any part of these terms of use is held to be unenforceable, the unenforceable part is to be removed to the greatest extent possible and the remainder will remain in full force and effect. 

18. These terms of use are governed by the laws of Vietnam and any disputes, controversies or claims arising out of or relating to these terms of use shall be referred for arbitration at the Vietnam International Arbitration Centre (the “VIAC”) under the VIAC rules that are in force when the dispute, controversy or claim arises. The language to be used in the arbitral proceedings shall be English and the place of arbitration shall be in Vietnam. The arbitral tribunal’s decision and/or award shall be final and binding upon the parties.

19. These terms of use and the attached Term of Business together constitute the entire agreement between us and you in relation to the Website and eLearning course and supersede all other (prior or contemporaneous) communications or displays between us, whether electronic, oral or written.
