금호석유화학의 금호리조트 인수자문

삼일회계법인은 2020년 10월 아시아나항공 및 계열사가 보유한 금호리조트 지분 100% 공개매각 입찰에 금호석유화학의 인수자문사로 참여하였습니다. 

금호리조트는 통영, 제주, 화순, 설악에 콘도미니엄 4곳과 아산, 화순, 제주에 스파비스 3곳을 운영하고 있으며, 국내 명문골프장 중 하나인 아시아나CC와 2020년 Top 100 Golf Course에서 아시아 64위로 평가받은 웨이하이포인트골프장과 리조트를 운영하고 있었습니다. 

이처럼 다양한 사업장과 국내외 골프장 사업을 영위하는 금호리조트를 치열한 경쟁상황과 정해진 일정하에 성공적으로 인수하기 위하여 삼일이 보유하고 있는 레져산업의 풍부한 경험과 M&A 전문성을 통해 금호석유화학가 인수할 수 있도록 지원하여 본 M&A를 성공적으로 종결하였습니다. 

본 건 자문에 있어 삼일회계법인은 SPA 협상 시에도 고객사가 만족할 만한 합의 과정에 도달하는 데 일조를 하였으며, 인수자문 및 후속 업무에서 고객사를 위하여 Deal LOS와 Assurance LOS의 전문가들이 효율적으로 재무자문 업무를 수행하였습니다.

PwC Korea Deals team served as a buy-side advisor for Kumho Petrochemicals in an auction deal involving the acquisition of 100% of Kumho Resort shares held by Asiana Airlines and its affiliates.

Kumho Resort oversees the operation of four condominiums located in Tongyeong, Jeju, Hwasun, and Seorak, as well as three spa facilities in Jeju. In addition, it manages prestigious country clubs, such as Asiana CC and Weihaipoint CC and resort. Weihaipoint CC and resort have been recognized as one of the top 64 Golf Courses in Asia in 2020.

In order to successfully conclude this M&A, PwC provided advisory services to Kumho Petrochemicals for acquiring Kumho Resort. Leveraging PwC's extensive experience in the leisure industry and expertise in M&A, this acquisition was accomplished amid intense competition and within set timelines.

Utilizing their industry expertise, the Deal team successfully concluded the transaction for Kumho Petrochemicals. The client expressed satisfaction with the smooth SPA process, and subsequent to the acquisition, Deals and Assurance X-Los team was actively involved in providing post-acquisition financial advisory services.
