한솔제지의 유럽자회사 매각을 위한 실사

PwC Korea Deal 6 team은 한솔제지㈜가 독일 소재 자회사 R+S Group Gmbh와 덴마크 소재 Hansol Denmark ApS의 지분을 매각하는 딜에서 회계자문사로 참여하였습니다.

R+S Group Gmbh는 독일 소재의 감열지 가공·유통업체로, 한솔제지㈜가 2015년에 인수한 바 있습니다. Hansol Demark ApS는 2013년 유럽 내 최대 감열지 가공 및 유통업체인 덴마크의 샤데스사를 인수하기 위해 설립된 회사로, 한솔제지㈜의 유럽법인 중 한 곳입니다. 한솔제지㈜는 유럽의 감열지 부문의 시장 유망성이 감소함에 따라 동 매각을 결정한 것으로 알려졌습니다.

이번 딜에는 독일계 사모펀드인 하버인베스트먼트 인수자로 참여하여 R+S Group Gmbh와 Hansol Denmark ApS의 지분을 인수하였습니다.

PwC Korea Deal 6 team은 본건 딜에서 매도인측 자문사로 참여하여 실사자문을 수행하였습니다.

PwC Korea Deal 6 team is pleased to announce the sale of shares in R+S Group GmbH and Hansol Denmark ApS to Harbour Investment.

R+S Group Gmbh is a Germany-based thermal paper processing and distribution company, acquired by Hansol Paper Co., Ltd. in 2015. Hansol Denmark APS, founded in 2013 to acquire Schades Holdings A/S which is the largest thermal paper processing and distribution company in Europe. It also is one of Hansol Paper's European subsidiaries. Hansol Paper Co., Ltd decided to sell both companies following declining business synergy.

Harbour Investment, Germany-based investment firm, acquired shares of R+S Group GmbH and Denmark ApS.

The PwC Korea Deal 6 team, led by Sung-Kun Jung, provided financial due diligence and successfully closed the transaction.
