We can provide legal and regulatory support for the launch of your fund as a standalone VCC or as an umbrella VCC by supporting you in the following:
- Preparing the constitution of the fund setting out the terms carefully;
- Preparing the private placement memorandum (PPM) relating to the fund to be distributed to investors;
- Preparing the investment management agreement (IMA) to be entered into between the fund and the fund management company (SG FMC);
- Preparing a form of the subscription letter/ agreement for investors of the fund, setting out the terms upon which investors subscribe for securities in the fund.
Other legal services
- Advising on the trust set up and reviewing the legal documentation in connection with the trust;
- Prepation or review of final legal documents (as required);
- Preparation of employment agreement in order to set out the terms of employment for the investment professional of the SG FMC/ single family office (SFO).
After the launch of your fund, further assistance can be provided to you throughout the running and operation of your fund with the following:
- Drafting and negotiating investment management agreements between the fund or family office and investment managers or advisers;
- Assisting with the negotiation and structuring of performance-based fee arrangements;
