The Regulatory Compliance and Advisory Services (RC& A) is a business unit in the Tax LoS. The team is made up of lawyers and chartered secretaries with international and vast experience in diverse sectors of the economy.

Over the years, we have worked alongside the tax, assurance and advisory teams to bring specialist knowledge and insight to varying clients’ needs/transactions in diverse sectors including financial services, government and public sector, energy, utilities and resources, telecoms, media and technology.

 

Our services

Start-up Services and Advisory (SSA)

We support clients with pre-incorporation advice, entity creation/registration at the Corporate Affairs Commission (CAC)/ free trade zone Management Authority

Company Secretarial Services (CSS)

Except for single shareholder or small companies, all other companies must appoint a company secretary. 

Intellectual Property Services (IPS)

We support clients with filing new applications and renewal of intellectual property. 

Exit Strategy and Support (ESS)

Companies/LLPs may voluntarily wind up their affairs in Nigeria. This can be achieved through the process of members’ voluntary winding up or by an application to deregister/strike off a name from the Register of Companies.

Regulatory Advisory (RA)

i. provide advice or opinion on regulatory or legal enquiries on diverse matters and industries.

ii. contract drafting/reviewing

iii. capital restructuring

Legal Entity Healthcheck (LEH)

This involves examining the general state of a company’s compliance status with legislation applicable to it as a registered legal entity in Nigeria. 

Regulatory Compliance

We interface with various Regulators and assist clients with obtaining mandatory licences/registration as stipulated by legislation. Our support includes pioneer incentive status applications, NOTAP registration, NAFDAC, SCUML registration etc.

Transaction Advisory and Support (TAS)

We provide transaction support through project management. We also support by advising on compliance with the Investment and Securities Act (ISA) and the Federal Competition and Consumer Protection Commission (FCCPC) Act

Legal Function Effectiveness Consulting (LFC)

Legal function effectiveness (“LFE”) Consulting is our tailored service offering which involves a detailed review and the restructuring of an entity’s legal department – it’s people, processes and technology - with a view to enhancing the efficiency and effectiveness of the internal legal function. 

Public Sector Transformation and Revenue Optimisation

Alongside our tax team, we provide support to relevant government/ agencies by conducting legislative reviews and gap analysis to identify revenue generating opportunities, corporate governance lapses; and advise on practical steps for implementing and attaining the appropriate structure required to drive revenue growth.
