PwC Korea advised Hahn & Company on the sale of its entire equity interest in Solmics Co., Ltd. to TKG Taekwang in a transaction valued at KRW 540 billion. Through the transaction, the seller realized proceeds exceeding 1.6 times its invested capital approximately 18 months after acquisition and reduced the concentration of semiconductor-related assets in its portfolio, while the buyer established a platform to expand from its traditional footwear and chemical businesses into semiconductor front-end components.
Solmics manufactures consumable components used in semiconductor front-end processes, a segment expected to benefit from increasing demand driven by process miniaturization and higher layer counts. Drawing on its semiconductor industry knowledge and relevant transaction experience, PwC Korea highlighted the target’s key investment merits, including growth potential, recovery in downstream demand and stable cash generation, while providing deal solutions addressing the principal concerns of both the seller and the buyer.
PwC Korea also leveraged its extensive network of domestic strategic and financial investors to screen potential buyers based on closing capability and transaction terms and managed the process through a limited competitive process under strict confidentiality. As a result, the SPA was signed within four months of commencing discussions and the transaction closed one month thereafter, achieving both rapid execution and maximization of the sale value.
