PwC Estonia DEALS: key projects in 2025

Delux Holding OÜ ja MIVAR-VIVA AS logo

PwC advised Delux Holding OÜ on the financial due diligence process, valuation, as well as transaction negotiations and pricing in connection with the acquisition of MIVAR-VIVA AS.

Delux Holding acquired the textile manufacturing company with the aim of expanding into the production of pillows and duvets.

PwC advised the Livonia Partners Private Equity Fund, which acquired a majority stake in Medicum, a healthcare group providing outpatient primary and specialist medical care. PwC supported Livonia by conducting financial and tax due diligence.

The group was acquired with the objective of supporting Medicum’s growth and expansion in the local market, thereby ensuring the provision of the highest-quality healthcare services to patients.

PwC advised SMH Group OÜ on the acquisition of Tallinna Kommunaalteenused OÜ. PwC supported SMH Group by conducting financial and tax due diligence.

The acquisition will enable Tallinna Kommunaalteenused OÜ to introduce modern solutions to the street maintenance sector and enhance the quality of its services.


Baltika ja ELG logo

Baltika Group, one of Estonia’s leading apparel retailers, was acquired by lingerie and textile company European Lingerie Group (ELG). PwC advised the seller, KJK Capital, by identifying potential investors and supporting the negotiation process.

Baltika aims to expand beyond the Baltic region, starting with Poland. ELG is well positioned to accelerate this expansion, as the company already has an established presence in Western Europe.

Asker Healthcare Group acquired a 100% stake in ITAK OÜ. PwC advised the buyer, OneMed OÜ, by conducting financial and tax due diligence and supporting the transaction negotiations.


Alwark, Multitruck ja Willenbrock logo

PwC Estonia advised Alwark by conducting financial and tax due diligence in connection with the acquisitions of Willenbrock Baltic OÜ and Multitruck OÜ.

Alwark’s objective is to expand its market presence and product portfolio in Estonia and to provide improved service to customers requiring various types of heavy machinery.
