We have an affiliate law firm in Vietnam, PwC Legal Vietnam Co., licensed by the Ministry of Justice, with a head office in Ho Chi Minh City and a branch office in Hanoi. Our law firm was established in 2000, and has a full complement of Vietnamese and expatriate lawyers. We have worked with many of the largest investors in Vietnam, assisting them structure their investments here, established legal entities, and comply with ongoing regulatory requirements. As part of the PwC global network, we are uniquely placed in the Vietnamese market, being able to offer our clients comprehensive legal advisory services alongside the tax and financial advisory services provided by our associated PwC offices.

General corporate and commercial services

We advise on all aspects of general corporate and commercial law including drafting of contracts/agreements. We advise on the legal and regulatory requirements for operating in Vietnam in most industries. For example, we advise on the sale and acquisition of real estate by foreign invested entities and construction permits. We help with the review and drafting of land documentation including lease and sale and purchase agreements. We also advise on the legal and regulatory requirements for operating in the developing banking and financial sector, as well as on foreign exchange issues including foreign borrowings and repayments. We also assist in the drafting of loan agreements and security documentation.

Legal due diligence and deals support services

Hand in hand with our colleagues in deals advisory and tax, we provide comprehensive transaction services to clients, including structuring advice, legal due diligence investigations, preparation of transaction documentation and other deal support services.

Employment and human resources

We advise on statutory employment regulations and corporate employment practices. We assist in the preparation and review of employment contracts, internal labour rules, codes of conduct, and assist expatriates to obtain work permits. We also advise on labour disputes.

Legal compliance/Company secretarial

We keep our clients up-to-date on developments in legislation that may affect their businesses, and assist them with legal compliance requirements and company secretarial matters.

Health check review

We offer a standard legal health check service whereby we review an organisation’s compliance with the many legal requirements in Vietnam.
