<itunes:summary>Final regulations on the Internal Revenue Code Section 409A were released in April, 2007. The regulations provide final definitions of what is considered deferred compensation, as well as new guidance on stock options, severance arrangements, permissible distributions and changing an original election. As a result, employers will likely have to amend nonqualified deferred compensation plans, employment agreements, and certain stock option arrangements to comply with 409A. Many of these changes will require approval by the board of directors, and employers must start analyzing and amending programs now in order to meet the year-end deadline. Bill Dunn, a partner in PricewaterhouseCoopers' (PwC's) Human resource services practice, is joined by Susan Lennon and Anne Waidmann from our Washington national tax services practice, to highlight the key issues surrounding these regulations including short-term deferral rules, the treatment of stock options under 409A, separation pay and how to meet these new requirements in time.</itunes:summary>
