Deepening economic and credit market uncertainty has resulted in an unpredictable environment for entertainment and media (E&M) deal makers. In terms of both completed deal value and volume, 2008 was a near record year for E&M. Disclosed deal value exceeded $150 billion and total transaction volume approached recent highs. However, almost all indicators suggest that E&M transaction activity in 2009 will be significantly less than the previous 2-3 years. Several sectors will not only be cyclically challenged but also potentially face long term structural changes due both to the current environment and the continuing convergence of technology.

With all the uncertainty, changes and challenges, there are also opportunities. M&A is ingrained in the DNA of so many E&M companies and private equity's pervasive influence in the sector continues to grow. While the overall value of completed deals in 2009 may remain well below the high water marks of 2007 and 2008, history has shown that transaction volume may prove more resilient than many expect.
