Fostering the dialogue between investors and boards

Investors continue to play a vital role in the corporate governance of public companies and are having more influence on how boards and management teams operate. With the increase in shareholder activism there has been a push for more institutional investor dialogue with boards to discuss such governance-related issues as proxy access, board composition and executive compensation.

PwC’s Governance Insights Center strives to foster the dialogue between investors, directors and corporate management. We closely monitor trends and publish our perspectives spanning various shareholder activism, proxy access, and environmental, social and governance (ESG) disclosure topics.

One distinctive set of content is ProxyPulse, a joint publication from Broadridge Financial Solutions and PwC’s Governance Insights Center that offers a unique perspective on shareholder voting trends during the proxy season.

Director-Shareholder Insights

Many investors and other stakeholders want more information about a company’s director nominees, especially information boards are considering regarding director tenure, board diversity and the results of board self-evaluations. All of this is occurring within an environment of aggressive shareholder activism.
