Overview of investment companies

Participants will gain an introductory overview of accounting, reporting, tax, operational and regulatory considerations in the investment company industry.
Private equity funds

Participants will gain an understanding of the importance of partnership agreements and offering documents to private equity funds. Participants will be able to discuss issues related to profit (loss) allocations, fee structures and distributions and to apply general mechanics of a waterfall calculation for the allocation of profits (losses) for private equity funds.
SEC implications of hedge fund registration
Level: Intermediate
Participants will gain an in-depth understanding of what hedge fund advisers will need to do to prepare to comply with investment adviser registration requirements, disclosure requirements, record-keeping requirements and the development of a comprehensive written compliance program, including the designation of a Chief Compliance Officer. In addition, participants will learn how to prepare for and successfully negotiate an SEC examination. The course will also provide participants with an opportunity to exchange ideas and approaches to common areas of concern to all firms.
