Financial Statements Submission (Private company, Public Company and Foreign Company)

At the end of the fiscal year, the law requires that a legal entity registered in Thailand must arrange the company secretarial works and file documents with the competent authority. We have set forth all company secretarial works that a company is required to do by law at the end of fiscal year of each company in order to fully comply with the law. The responsible person shall be subject to fines according to the Act on Offences concerning Registered Partnerships, Limited Partnerships, Limited Companies, Associations and Foundations B.E. 2499 if she/he does not comply:

1. For a private company:

  • Arranging the annual meeting of shareholders to approve the audited financial statements of a company within 4 months at the end of fiscal year.
Up to Baht 50,000 for a director and Baht 20,000
for company
  • Filing the submission form of audited financial statements together with supporting documents (e.g. list of shareholders, etc.) to the Registrar no later than 1 month after the date of the shareholders’ meeting.
Up to Baht 50,000 (any late submission shall be subject to the fines as mentioned below)


2. For a foreign company i.e. branch office, representative office or regional office excluding joint venture

Manager of branch office Submitting a copy of audited financial statements to the Registrar no later than 150 days after the end of the fiscal year.

Please be further advised that the audited financial statements do not require approval of the shareholders’ meeting.

3. For a public company:

  • Arranging the annual meeting of shareholders to approve the audited financial statements of a company within 4 months at the end of the fiscal year.

  • Submitting a copy of audited financial statements together with copy of minutes of shareholders’ meeting approving such financial statements and certified true copy by authorized director to the Registrar no later than 1 month after approval by the shareholders’ meeting, and publishing the financial statements in a newspaper at least one day.
Up to Baht 20,000 for a director and Baht 20,000
for a company (any late submission shall be subject to the fines as mentioned below)
  • Submitting the list of shareholders existing on the date of the annual meeting to the Registrar within 1 month after the ordinary meeting.
