New Company Law Conference - 17 January 2007

Economy can only work if companies are managed in an efficient and transparent manner. To this aim, Romania has joined the European efforts to review company legislation and have the Romanian Company Law transformed into a modern item of legislation aligned to the new European standards in the field.

 
The conference 'New Company Law', held in Bucharest, at the JW Marriott, Grand Ballroom, Hall A & B, on 17 January 2007, by D&B David si Baias and PricewaterhouseCoopers attempted to provide a perspective of the new legal and fiscal framework, focusing on what companies should do in order to comply with the new rules.
 
In the presence of almost 200 persons (directors, executives, financial managers, in-house lawyers, internal auditors and to other persons in charge of compliance with applicable legislation) our experts addressed a wide array of topics:
 
the relation between the directors/executives and the company’s shareholders
legal and tax implications of agreements entered into between directors and companies
new duties and the liability regime for directors/executives
new procedures regarding companies’ set-up and functioning
rules applicable to shareholders’ general meeting
the new regulations in the field of company’s various reorganisation forms (mergers, spin-offs
  etc.), as they are enacted, as from 1 January 2007, by both the Fiscal Code and Company Law.
