The M&A group are focused on assisting clients who are considering or doing a transaction (acquisition, merger, division, disposal).

For most businesses, a transaction is not a regular event. The laws in this area are complex and in many cases unclear. While the rewards from concluding a transaction successfully are great, the costs of failure are high. Consequently advice and support is required. Our role is to guide our clients through the process.

Our services

1. Transaction structuring

At the initial stage, we typically conduct a review to understand the business involved and identify the tax related issues. Based on the review, we present the options available before determining the optimal transformation scenario together with the client. This may include pre-acquisition or disposal reorganisations, purchase price structuring, determining holding and financing structures and financial modelling.

2. Due Diligence

Where relevant, we conduct an analysis of the target company's tax position. This includes review of the target’s tax compliance, tax profile (conservative or aggressive), transfer pricing, tax planning opportunities.

Our focus is on deal related issues, matters impacting the purchase price and issues relevant to sale / purchase agreements.

3. Post-acquisition reorganization / integration

The post transaction review is designed to ensure that the transformation was executed correctly from a formal perspective, and to ensure that the new operation is ready to handle its tax affairs appropriately.
