PricewaterhouseCoopers (PwC) Transaction Services has considerable experience of working with property companies, other corporate Clients and financial institutions on real estate related matters. PwC Transaction Services is uniquely placed to advise and assist on a wide range of strategic, commercial and financial real estate matters. Our ability to draw on PwC expertise, regardless of its specialism, enables us to co-ordinate the full spectrum of advice required in a seamless manner.
Our real estate experience allows us to provide a full range of services to identify and then support an acquisition of a property company or of a portfolio of assets. We have the largest and most experienced Transaction Services team in Poland, specialising in due diligence, structuring and SPA related advice. We have a strong track record of delivering timely reports focused on value drivers and deal issues.
Due diligence and deal structuring
We provide full commercial, financial, tax and market due diligence services for the acquisition or disposal of individual properties, portfolios and real estate businesses as well as advice on deal structuring. We are familiar with working as part of a larger team of different advisors including lawyers, environmental and lead advisors, and understand the close co-operation required to maximise the due diligence opportunity to identify and close down deal issues.
Disposals
We have extensive experience in advising on disposals. We aim to achieve a successful transaction to obtain the best price and most favorable terms for the vendor. We can assist in assembling the financial, tax, legal and other information required by a bidder, produce a high quality authoritative information memorandum and commission a credible vendor due diligence report. We are able to help you to identify and address issues prior to a prospective buyer looking at your assets.
Valuation advice
Our property valuation team has played an active role in the transformation of business organisations, assisting in the steps leading to privatisation, providing help in the assessment of contributions-in-kind of new enterprises, as well as in the final settlement, liquidation or asset disposal procedures.
Our valuation services include the following:
- valuation of real estate (single assets, holdings and portfolios)
- appraisal management services
- assessment of internal valuation policies and practices
- collateral reviews
- business valuation (valuation of real estate SPVs)
"Understanding valuation issues will not only allow you to demand the best price but also to set the agenda when developing the strategy of negotiating a sale or a purchase."
The valuation of asset-backed businesses requires an understanding of the earnings profile of the business as well as the underlying asset base. We understand the dynamics, trends and issues influencing both approaches, enabling us to provide market focused and independent advice.
