PwC Advisory Co., Ltd.(head office: Chihyoda-ku, Tokyo, CEO: Shoichi Oka)and PricewaterhouseCoopers Consultants Co., Ltd.(head office: Chihyoda-ku, Tokyo, President: Shiro Uchida, hereafter "PwC Consultants")will undergo business integration on January 1, 2010 and become "PricewaterhouseCoopers Co., Ltd." Moreover, on the same day, PricewaterhouseCoopers HRS Co., Ltd.(head office: Chihyoda-ku, Tokyo, CEO: Hiroyuki Suzuki, hereafter "PwC HRS")will be a part of the business integration.

The objectives of this integration are to combine the expertise and strengths of the three companies to:(1)provide integrated solutions for the increasingly complex management challenges of companies;(2)provide multifaceted services by building medium- to long-term relationships with our client companies; and(3)strengthen our organizational structure to support the further globalization of domestic companies. The approximately 1,600 professionals in Japan will have access to the PricewaterhouseCoopers global network of over 163,000 staff in 151 countries around the world to help further support the resolution of company management challenges. Through this integration, PricewaterhouseCoopers Co., Ltd. will become the largest consulting firm in Japan which provides deal advisory and consulting services.

PwC Advisory is a leader in the fields of M&A and business revitalization and restructuring in Japan, and it has a strong track record of providing deal advisory services to its client companies. The strength of PwC Consultants is its comprehensive consulting on management strategy formulation and execution, operational reform, and system design and implementation. Furthermore, PwC HRS provides services which create solid organizational and personnel structures which allow for business growth of companies from a professional HR perspective.

Shiro Uchida will become CEO of PricewaterhouseCoopers Co., Ltd.
