Mining for EHS liabilities surrounding a metal company client’s planned acquisition

PwC was engaged by a large metallurgical company in Argentina to conduct an environmental due diligence review of a proposed acquisition target. Our thorough assessment of material environmental, health, and safety (EHS) factors identified a number of potential issues. The client’s challenge

Our client, a large steel concern, was seeking to identify and characterise potential EHS exposure related to a proposed transaction.

Our approach

PwC professionals:
  • Visited three factories, interviewed management, and evaluated EHS documentation
  • Compiled a report of issues of concern, including potential regulatory non-compliances, and recommendations for how these might be remediated

The assessment enabled informed and strategic decision-making regarding business plan, purchase price, capital investment requirements and other key deal considerations.

Privatising water and wastewater facilities in the UK

PwC played a pivotal role in structuring a transaction for a government ministry to privatise 2,900 water and wastewater facilities throughout England, Scotland, and Wales. As a first step, PwC water specialists conducted extensive studies. Using the results as a foundation, PwC designed a £1billion, three-package deal and provided guidance to the client through a successful tender process.

Organizing a Korean cosmetic’s company CSR activities into a pleasing palette for all stakeholders

PwC worked with a Korea-based cosmetic company to organize its CSR activities into a meaningful overarching sustainability platform that helped the client engage internal and external stakeholders and realize significant reputational ROI from its CSR investment.

PwC professionals:
  • Conducted Dow Jones Sustainability Index assessments of existing CSR activities to determine weaknesses and opportunities
  • Interviewed diverse internal and external stakeholders to pinpoint priority issues
  • Crafted a CSR strategy as well as a team structure and operations plan to assist in the efficient and expedient implementation of recommendations

PwC provided the client with a holistic assessment of current and emerging issues combined with a comprehensive approach to reinforcing CSR as an integral component of operations and corporate performance.
