Distribution law

We assist our clients in order to:

  • settle and manage their distribution networks efficiently through our extensive knowledge of case law and the applicable EU block exemption regulations;
  • draft or amend all distribution contracts (e.g., exclusive distribution, selective distribution, franchising agreements, agency or commission agreements);
  • structure and negotiate their pricing policy;
  • check the conformity of the distribution schemes to rules governing invoices and resale at loss;
  • draft transactional protocols in order to settle disputes, especially between suppliers and distributors;
  • represent them in all commercial jurisdictions regarding distribution disputes and litigations (especially between suppliers and distributors);
  • ensure that their practice is in compliance with competition law at national and European levels;
  • assist them in their dealings with competition authorities, and during procedures before the selfsame authorities; and
  • check whether their acquisitions are governed by merger regulations and assist them in notifying such operations to the relevant authorities.
