In the case of a large-scale transaction, we interact closely with the management and human resource executives to identify and properly address specific compensation issues. Before the transaction we draw up a restructuring strategy which contains advice specifically tailored to the company and its employees. It also contains organizational and HRM strategies that are a result of our HR Due Diligence review. At the integration, we assist in the establishment a new organizational structure and ensure a seamless transition in HR and benefit base on our practical know-how and expertise.

Establishing a HR strategy
We provide advice from the point of view of the organization and its HRM from pre-bid through a post-acquisition.
Making full use of PwC’s global network, we can provide support for transaction such as the acquisition of shares, a divisional spin-off and mergers and business alliances. We assist in strategy planning and investigations of potential acquisition targets.
 
Due Diligence
We perform at an HR due diligence review and prepare a report of our findings. We look at all the risks and possible issues relating to human resources and organization in the existing company in relation to the transaction. Our services include evaluating the retirement allowance liability, review of grade, appraisal, and compensation systems, employee assessment and corporate culture assessment, and other HR related issues.
 
Post Merger Integration Assistance (creating a restructuring plan)
After the integration, we begin the second phase of due diligence, and carry out an HR cost analysis. From the results of this analysis, we develop an HR strategy for the new company.
*Regarding the retirement allowance system, when planning the business takeover, we help with the negotiations and application procedures with labour ministry.
 
Executing the reorganization plan into action
We assist with the development and implementation of an HRM plan that is necessary for the new organization, including employment security measures to guard against overstaffing.
 
Post M&A support
In order to implement the new system in the short-term, we put an adoption support plan into action. We provide support which places emphasis on the employees’ perspective, including organizing briefing sessions, carry out attitude surveys, establish task force teams, set up workshops and also provide training to raise the awareness of the managerial staffs.
