As a reminder, please note the upcoming deadline of 14 February 2006 for filing of stock option exercise reports with the Thai SEC (Securities and Exchange Commission). This filing obligation is incurred when foreign companies offer Employee Stock Option Plans or Employee Stock Purchase Plans to employees in Thailand.

Employee Stock Option Plan

The offerer must submit an exercise report to the Thai SEC within 45 days of the end of each calendar year after exercise – i.e. by 14 February of the year following exercise, regardless of whether the placement is a "Private" or "Public" offer.

Employee Stock Purchase Plan

Approval from the SEC prior to placement of a "Public Offering" of a stock purchase plan and a sales report are also required.
