Services for Buyers

Tender Support
We add value to acquirers in advance of a bid by identifying and planning responses to areas of strategic, operational and financial vulnerability.
Financial Due Diligence
Are you buying what you think you are, at the right price? Experience shows that the degree to which an acquisition proves beneficial for your company is closely related to the amount and quality of due diligence carried out before the deal goes ahead. We know the importance of helping you obtain a clearer financial overview of your purchase through a thorough analysis and validation of financial, commercial, operational and strategic assumptions that underpin your deal. These financial information reviews are designed to provide you with an overview of pecuniary prospects of the targetted businesses.

Our tailored due diligence covers key areas that affect the value and viability of your target. We work with you to leverage on due diligence findings in the deal negotiations.
Tax Due Diligence
Properly managed taxes can add value to a deal. Beyond identifying and managing the tax risks in mergers and acquisitions (M&A), tax due diligence helps companies identify and capitalise on the available tax concessions.
Deal Structuring
Our deal structuring service helps your company articulate compliance with financial accounting standards and tax regulations in your M & A and divestment exercise. Leveraging on our deal experience, we have helped clients realise the efficiency of their financial and tax structures to maximise the value of the deals.
Market Due Diligence
Working with our industry focused professionals, we make understanding the market in which you operate the core of our market due diligence work. Utilising our tools and industry expertise from across the firm, we help you articulate performance of the targetted business and ultimately, its investment attractiveness.
No Access Due Diligence
No Access Due Diligence provides a thorough market and target review based on publicly available information. This is especially useful when the vendor is reluctant to reveal pertinent information.

Post Deal Services
Most deals fail to deliver shareholder value because of poor post-deal integration of services and processes in the merged entity. With that in mind, we know the significance of post deal services which covers the following:
  1. Identifies key value drivers that will maximise post-transaction returns and develop a rapid integration plan around those value drivers
  2. Prioritises post-deal issues
  3. Provides short-term project management services and implementation assistance in the initial post-deal integration stage while you put together your in-house expertise and;
  4. Develops processes to monitor the costs and benefits captured during the integration phase(s). Post deal services works alongside Accelerated Transition®.
(Accelerated Transition® is a unique trademarked PwC methodology that helps you capture the value in a deal by rapid business integration in the early days following an announcement. The period immediately following completion of the deal is the time when most deal value is lost if the business is not stabilised quickly and priorities are not correctly identified.)

Backed by a diversified and multi-disciplined team of professionals, we are in a position to help you make the most of the acquisition by leveraging on PwC's experience and expertise in other aspects that contribute to the success of your deal such as information technology, communications, treasury and tax.
    Services for Sellers
    Vendor Assistance
Our vendor assistance service utilises the skills of our financial, tax and market due diligence professionals to preserve and enhance value for vendors through the divestment process. We work alongside your management from the beginning to the end of the sale with one clear objective: To optimise the sale price. How? By taking an early diagnostic review to identify the risks/opportunities, and developing quality of earnings/value driver analysis for incorporation into your Offering Memorandum and management presentations.
    Sell-Side Due Diligence
Sell-Side Due Diligence is commissioned by the seller at the beginning of the sale process rather than by prospective buyers. Our deal professionals offer sellers an independent view of the business that encompasses performance and prospects as well as issues that may be relevant to a buyer. This process adds credibility to the Information Memorandum.
Sell-Side Due Diligence seeks to reach a single due diligence process for the buyers, giving the seller greater control over the sale process and the timing of the sale which in turn helps secure a higher price for the business.
