The issue
The client, a major European pharmaceutical business, was considering the acquisition of a pharmaceutical manufacturing company in the Russian Federation.
Our approach
PricewaterhouseCoopers’ environmental health and safety and due diligence specialists:
- Reviewed the possible environmental risks associated with the target company
- Reviewed the target company’s compliance history, including outstanding fines and legacy costs
- Reported these findings to the client as part of a larger financial, legal, and tax due diligence process
The outcome
By including an environmental component in the due diligence process, the client obtained a more complete picture of the risks associated with the target, including the potential for inheriting outstanding environmental-related fines. Although the client decided against the purchase of this facility, we were re-engaged to perform a similar due diligence on a second target, the scope of which also included environmental considerations.
