The first round table event organised by the PricewaterhouseCoopers Transaction Services group was held on 21 November 2007 in Helsinki. The meeting was attended by a selected group of participants from Finnish industry that have M&A responsibilities either at CEO, CFO or M&A Director level.
The discussion was led by James Doe, a director from the group’s Sale and Purchase Agreement unit based in London and supported by Jyrki Tähtinen, the Managing Partner from Borenius and Kemppinen. James Doe highlighted that this specialist group had seen over three hundred SPAs over the last eighteen months related to transactions throughout Europe and that a picture had developed in terms of a trend towards an Locked Box (“LB”) approach primarily driven through the practice applied by private equity during secondary buy outs, but nowadays increasingly being used by corporates and private equity making divestments across Europe.
