Status of File as of March 13, 2013
The Monitor has completed the administration of the CCAA proceedings of Rol-land and will be making a final distribution under the Plan to the affected unsecured creditors who elected “distribution option B”, pursuant to their claims filed and approved during the CCAA claims process. All creditors who elected “distribution option A” have already received their full entitlement under the Plan and are not entitled to any further distributions.
The employees’ final distribution, if any, cannot be released to the former employees until the Monitor receives a response from Human Resource Skills Development Canada (“HRSDC”) with respect to any potential employment insurance benefits overpayments to the former employees. This process normally takes HRSDC approximately 6 to 8 weeks to complete. The Monitor will release the employee’s final distribution as soon as a response is received from HRSDC. You must contact your local Employment Office regarding any HRSDC deduction.

On March 1, 2013, the Court approved the Monitor’s fees and disbursements and that of its legal counsel.
Status of File as of February 20, 2013
On February 15, 2013, the Monitor filed its Twentieth Report to the Court to:
- provide stakeholders with information on the finalized Notional Funding Amount and distributions to Affected Creditors under the Plan;
- request Court approval for the Monitor’s accounts for the period August 29, 2009 and thereafter and the accounts of the Monitor’s legal counsel for the period September 1, 2009 and thereafter; and
- report on the termination of the CCAA proceedings.
A motion will be heard on Friday, March 1, 2013.
Status of File as of July 25, 2011
On July 21, 2011, the Court granted an order unsealing confidential supplements filed with the Monitor’s Seventh Report to the Court dated July 16, 20009, the Monitor’s Eighth Report to the Court dated August 10, 2009 and the Monitor’s Eleventh Report to the Court dated September 25, 2009.
Status of File as of July 12, 2011
On July 11, 2011, the Monitor prepared its Eighteenth Report to the Court to support a motion requesting an order unsealing confidential supplements filed with the Monitor’s Seventh Report to the Court dated July 16, 20009, the Monitor’s Eighth Report to the Court dated August 10, 2009 and the Monitor’s Eleventh Report to the Court dated September 25, 2009. The motion will be heard on July 21, 2011.
Status of File as of April 21, 2010:
- On April 21, 2010, the Monitor made an interim distribution to the unsecured creditors of Rol-land, pursuant to their claims filed in connection with the Companies’ joint plan of compromise or arrangement, dated December 9, 2009 (the “Plan”). This payment represents an interim distribution, following the election, or deemed election of each unsecured creditor pursuant to section 3.05 of the Plan. A final distribution will be made amongst the unsecured creditors once the administration of the CCAA proceeding can be completed.
The Monitor has not yet released the employee dividend payments, which cannot be released to the former employees until the Monitor receives a response from Human Resources Skills Development Canada ("HRSDC") with respect to any potential employment insurance benefits overpaid to the former employees. This process usually takes HRSDC approximately 6 to 8 weeks to complete. The Monitor will release the employee’s interim distribution as soon as a response is received from HRSDC. You must contact your local Employment Office regarding any HRSDC deduction.

On February 11, 2010, the Court sanctioned and approved the consolidated plan of compromise and arrangement. At the same time, the Court ordered that the stay of proceedings be extended to March 22, 2010.

On February 4, 2010, the Monitor prepared its Seventeenth Report to the Court to (i) inform the Court of the Companies’ financial performance for the 8 weeks ended January 15, 2010; (ii) inform the Court of the Companies’ cashflow projection for the 8 weeks ended March 12, 2010; and (iii) make a recommendation to the Court regarding the Companies’ request for an extension of the stay.

On February 3, 2010, the Monitor prepared its Sixteenth Report to the Court to update the Court on the claims procedure process; and, to report to the Court on the votes cast at the creditor’s meeting held on Friday, January 29, 2010, with respect to the plan.
On February 8, 2010, the Applicants will make a motion for an Order sanctioning and approving the Plan and an Order extending the stay of proceedings to March 22, 2010.

On January 26, 2010, the Court issued an Order approving the distribution of the funds being held by the monitor from the sale of the Applicants’ Campbellville mushroom production facility and business.

On January 8, 2010, the Monitor mailed an information package regarding the Creditors’ Meeting to be held on Friday, January 29, 2010 at Wheels Inn, 615 Richmond Street, Chatham, Ontario, to all Affected Creditors that have filed a Proof of Claim with the Monitor. On December 11, 2009, the Court approved an Order that the Applicants are authorized and directed to file the Plan and hold a Creditors’ Meeting on Friday, January 29, 2010 at Wheels Inn in Chatham, Ontario.
- An Information Package regarding the Meeting of Creditors will be mailed to all creditors who have filed proof of claims with the Monitor, on or around January 8, 2010.
- On December 11, 2009, the Court approved an order extending the stay of proceedings to February 8, 2010.

On or before November 25, 2009, the Monitor will send to each known creditor of the Applicants the Claim Materials, including a Proof of Claim form. If you believe that you have a Claim against any or all of the Applicants you must file a properly completed Proof of Claim form, together with all supporting documentation with the Monitor by 5:00 p.m. (Toronto time) on December 30, 2009 (the “Claims Bar Date”).
Proofs of Claim must be received by the Monitor by the Claims Bar Date or your claim will be forever barred and extinguished and you will not be entitled to receive any distribution pursuant to the Plan, and all Claims, if any, of such Creditor, other than Excluded Claims, shall be forever extinguished and barred.

On November 12, 2009, the Monitor prepared its Thirteenth Report to the Court to (i) inform the Court of the Companies’ financial performance and cash flow for the five weeks ended October 30, 2009; (ii) inform the Court of the Companies’ revised cash flow for the period October 31, 2009 to January 29, 2010; (iii) update the Court on the status of the sale of the Campbellville Business to Monaghan Middlebrook Mushrooms Limited as approved by the Court on October 5, 2009; and, (iv) to inform the Court of the status of the Companies’ plan and the Companies’ request for an extension of the stay of proceedings.
On November 16, 2009, the Applicants will make a motion for an Order (i) to continue amending the title of proceedings; (ii) extending the stay of proceedings to December 7, 2009; and (iii) establishing a procedure for the filing and determination of certain claims and a claims bar date in respect of such claims.

On October 5, 2009, the Monitor will make a motion for the Court’s approval.

On September 15, 2009, the Monitor filed the Monitor's Tenth Report to Court to inform the Court of (i) the Companies' financial performance and cash flow for the twelve weeks ended August 28, 2009; (ii) the Companies’ revised cashflow for the period September 5, 2009 to December 4, 2009; (iii) the status of the sale of the Kingsville production facility to Highline Produce Limited; iv) the status of the sale of the Burlington residential property; (v) the status of the negotiations between the Monitor and Monaghan Middlebrook Mushrooms Limited for the sale of the Campbellville Business; (vi) the update of the status of the applications filed by four of the Companies under the Farm Debt Mediation Act; and (vii) the status of the Companies’ plan and the Companies’ request for an extention of the stay of proceedings.
- On September 15, 2009, the Applicants will make a motion for an Order (i) to extend the stay of proceedings to October 15, 2009; and (ii) amending the Appoval and Vesting Order of the Honourable Mr. Justice Morawetz for the Kingsville Farm Property dated August 14, 2009 to reflect a closing date of September 10, 2009.

On August 27, 2009, the Court (i) authorized, empowered and directed the Monitor to take all necessary steps to complete the sale of the Campbellville mushroom production business to Monaghan in accordance with the Monaghan Campbellville Protocol subject to the Right of First refusal Addendum; and ii) directing the Applicants, their directors, employees, an all other persons acting on their instructions or behalf to provide such assistance to the Monitor as the Monitor may in its discretion require to complete the Highline Sale Transaction and the Monaghan Sale.
- On August 24, 2009, the Monitor filed the Monitor's Ninth Report to make a recommendation to Court to enhance the Monitor’s powers to enable it to negotiate and complete the sale of the Campbellville mushroom production business to Monaghan in accordance with the Monaghan Campbellville Protocol subject to the Right of First refusal Addendum. On August 27, 2009, the Applicants will make a motion for an Order i) to enhance the powers of the Monitor to complete the sale of the Campbellville mushroom production business to Monaghan in accordance with the Monaghan Campbellville Protocol subject to the Right of First refusal Addendum; and ii) directing the Applicants, their directors, employees, an all other persons acting on their instructions or behalf to provide such assistance to the Monitor as the Monitor may in its discretion require to complete the Highline Sale Transaction and the Monaghan Sale Transaction. Also on August 27, 2009, the Monitor will make a motion to for an Order that the Confidential Supplement to the Monitor’s Ninth Report to Court dated August 24, 2009 be sealed pending further Order of the Court.

On July 17, 2009, the Bank of Montreal will make a motion for an Order expanding the role and powers of the Monitor so the Monitor can market the Applicant's mushroom production business, which consists of three farms located in Kingsville, Blenheim and Campbellville, Ontario and a mushroom operation managed by the Applicants locate in Summerside, Prince Edward Island (collectively the "Mushroom Business") and negotiate, receive and accept offers for the Mushroom Business.

On December 17, 2008, the Ontario Superior Court of Justice (the "Court") granted an order extending the Stay Period, as defined in the Initial Order, to January 12, 2009.

On December 10, 2008, Rol-Land made an application before the Ontario Superior Court of Justice Commercial Court and an Order (the "Initial Order") was granted for relief under the Companies' Creditors Arrangement Act, R.S.C. 1085, c. C-36 as amended (the "CCAA") staying proceedings against the Applicants and their property until January 9, 2009 or such later dates as may be provided in further orders, and authorizing the Applicants to file a plan or plans of compromise or arrangement (the "Plan") with affected creditors. PricewaterhouseCoopers Inc. was named as Monitor in the Initial Order.
As set out in the affidavit of Hendrik Vander Pol, the Company intends to restructure its business operations under the protection of the CCAA and deal with its assets in a manner consistent with the preservation of its property and business.
