On January 19, 2010, Japan Airlines Corporation, including wholly owned subsidiaries Japan Airlines International Co., Ltd. (“JALI”) and JAL Capital Co., Ltd. (collectively, “JAL or the “Company”), commenced restructuring proceedings under the Corporate Reorganization Act of Japan (Kaisha Kosei Ho) (the “JRA”) before the Tokyo District Court, Civil Department No. 8 (“Japan Proceeding”).

On April 30, 2010 (the “Filing Date”), Eiji Katayama (the “Foreign Representative”) brought an application (the “Recognition Proceeding”) before the Canadian Court pursuant to Part IV of the Companies’ Creditors Arrangement Act, R.S.C. 1985, c. C-36, as amended (the “CCAA”), and obtained an order (the “Canadian Recognition Order”, which among other things: (i) recognized the Japan Proceeding as a “foreign main proceeding”; (II) granted a stay of proceedings in Canada against the Company; and (iii) appointed Deloitte & Touche Inc. (“Deloitte”) as Information Officer.

On June 8, 2011, pursuant to an order issued by the Ontario Superior Court of Justice (Commercial List) (the “Court”), PricewaterhouseCoopers Inc. (“PwC”) was substituted as Information Officer of the Company for the Canadian proceedings in place of Deloitte.

Status as at December 5, 2012

On December 3, 2012, the Court issued an Order:

  1. approving the fee agreement entered into with Lori Riediger and Daniel Barrett;
  2. awarded to Class Counsel payments with respect to the settlement with JAL made as of December 1, 2010; and
  3. ordering that Class Counsel fees, disbursements and taxes be paid from the Settlement Amount pursuant to the terms of the Settlement Agreement.

On the same day, the Court issued an Order:

  1. terminating the foreign recognition proceedings;
  2. approving the Information Officer’s Fourth Report;
  3. approving the activities of the Information Officer as detailed in its First Report, Second Report, Third Report and Fourth Report;
  4. approving the fees and disbursements of the Information Officer and its counsel; and
  5. discharging PricewaterhouseCoopers Inc, as Information Officer.

Status as at November 29, 2012

On November 29, 2012, the Information Officer prepared its Fourth Report to provide the Court with information concerning the following:

  1. an update on Guarantee claims;
  2. an update on foreign proceedings; and
  3. the Canadian Passenger Proceedings and the Proposed Settlement.

Status as at June 25, 2012

On June 5, 2012, the Information Officer prepared its Third Report to provide the court with information concerning the following:

  1. Update on Unresolved claims and Guarantee claims;
  2. Update on foreign proceedings; and
  3. Update on the Canadian Passenger Proceedings and the Proposed Settlement.

Status as at November 29, 2011

On November 29, 2011, the Information Officer prepared its Second Report to provide the Court with information concerning the following:

  1. Update on Unresolved claims and Guarantee claims;
  2. Update on foreign proceedings; and
  3. Update on the Canadian Passenger Proceedings.

Status as at June 10, 2011

Pursuant to the June 8, 2011 Order, the Court, among other things (i) recognized, implemented and gave effect to the decision of Japanese Court made on November 30, 2010 (the “Japan Confirmation Order”) approving and confirming the Reorganization Plan submitted by the Applicants in the restructuring proceedings commenced by them in the Japan Proceedings; and (ii) recognized, implemented and gave effect to the Reorganization Plan in Canada.
