On March 8, 2011, Dura Automotive Systems (Canada), Ltd. (the "Applicants") filed a plan of compromise and arrangement (the "Plan") with the Ontario Superior Court of Justice (Commercial List) (the "Court") in their restructuring proceedings under the Companies' Creditors Arrangement Act ("CCAA").
The purpose of the Plan is: (a) to provide for an orderly realization of the Remaining Assets (as defined in the Plan) of the Applicant; (b) the payment of the Plan Amount to Morneau Shepell Ltd. for the purposes of distribution to the Creditors with Proven Claims in accordance with this Plan; and (c) the compromise of all Claims of the Creditors of the Applicant against the Applicant, the Plan Sponsor, the Dura Group, and each of their respective parents, subsidiaries, affiliates, present and former officers and directors, employees, associated individuals, auditors, financial advisors, legal counsel, other professionals, sureties, insurers, indemnities, agents, dependants, heirs, representatives and assigns, as applicable.
To become effective, the Plan must, among other things, be voted upon and be approved by the requisite majority of creditors entitled to vote at the meeting and must be approved by the Ontario Superior Court of Justice (Commercial List).
